1. Introduction
These terms and conditions govern your use of the Orijin Plus Inventory Management Mobile App (the "App") provided by Orijin Plus Ltd (the "Company"). By using the App, you agree to be bound by these terms and conditions.
2. License
The Company grants you a non-exclusive, non-transferable license to use the App for your own internal business purposes only.
3. Use of the App
You agree to use the App only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the App by, any third party. You must not use the App in any way that causes, or is likely to cause, the App or access to it to be interrupted, damaged or impaired in any way.
4. Data
The Company will collect and process data in connection with your use of the App, including personal data. You agree that the Company may use and disclose such data for the purposes of providing and improving the App and related services. You are responsible for ensuring that any personal data you provide to the Company is accurate and up-to-date.
5. Intellectual Property
The App and its content are protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, publish, display, modify, create derivative works from, or exploit in any way, in whole or in part, any of the content of the App without the Company's prior written consent.
6. Disclaimers and Limitation of Liability
The App is provided "as is" and the Company makes no warranties or representations of any kind, express or implied, as to the operation of the App or the information, content, materials, or products included on the App. To the fullest extent permitted by applicable law, the Company disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. In no event shall the Company be liable for any damages whatsoever, including, but not limited to, direct, indirect, special, incidental, or consequential damages, arising out of or in connection with the use or inability to use the App, even if the Company has been advised of the possibility of such damages.
7. Indemnification
You agree to indemnify and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents, from and against any claims, actions, proceedings, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the App or your breach of these terms and conditions.
8. Governing Law and Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction where the Company is based. Any dispute arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
9. Changes to the App and these Terms and Conditions
The Company reserves the right to make changes to the App and these terms and conditions at any time without prior notice. Your continued use of the App following any such changes constitutes your acceptance of the revised terms and conditions.
10. Termination
The Company may terminate your use of the App at any time without notice if you breach any of these terms and conditions. Upon termination, you must immediately stop using the App and delete all copies of the App from your device.
11. Entire Agreement
These terms and conditions constitute the entire agreement between you and the Company in relation to your use of the App and supersede all previous agreements, understandings, and arrangements between us, whether oral or written.
12. Restricted Access
You agree to only access and interact with the inventory of the organization you are associated with, and not to attempt to access or interact with inventory from any other organization. Any unauthorized attempt to access or interact with inventory from another organization will be considered a breach of these terms and conditions and may result in the termination of your use of the App.
